These Terms of Service govern your use of vstudio208.com (the "Site"). The Site is operated by VSTUDIO 208 US LLC, a California limited liability company with its principal office at 1445 Harrison Street, Oakland, California 94612, USA ("we," "us" and "our"). VSTUDIO 208 is our brand.
By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms cover the Site only. We provide visualization services only under a Master Services Agreement and a Statement of Work ("SOW") signed by both parties. Nothing on the Site, including our rates page, the project calculator, examples, FAQs and these Terms, is an offer to provide services or a term of any engagement.
If anything on the Site differs from a signed Master Services Agreement, SOW or Change Order, the signed document controls. Only a written document signed by our Managing Member can bind us to an agreement or amend one.
The Site is intended for professional use by businesses and by individuals planning a real-estate, architectural or interior project. You must be 18 or older to use the Site and to send us a request.
We are a visualization studio. We are not a licensed architecture, engineering, planning, surveying or land-use practice in any U.S. jurisdiction, and we do not act as architect of record or engineer of record.
Our images, films, tours and models are conceptual and presentation material. They are not permit, bid, construction or record documents and must not be used for construction, fabrication, procurement, permitting, entitlement filings, quantity take-offs, cost estimates or structural, life-safety or code-compliance decisions. Compliance of a project with building codes and regulations is the responsibility of the client and its licensed architect and engineer of record.
Renderings shown on the Site are artist's renderings: conceptual, for representational purposes only, and not a representation of a final constructed project.
Rates on our rates page and results of the project calculator are indicative only and are not an offer. The binding fee, scope and dates are those stated in an SOW signed by both parties after we have reviewed your files. Rates in effect on the date of an SOW are fixed for that SOW; we may change published rates at any time for future engagements.
Adjustments for geometric complexity and accelerated schedules are not calculated automatically; they apply only if confirmed in our written proposal and named in the signed SOW. Fees are stated in U.S. dollars and exclude sales, use and similar taxes, which are added where required by law.
The rights a client receives in final deliverables, the treatment of our production files and libraries, and the option to acquire the working files of a scene are governed only by the signed Master Services Agreement and SOW. In summary: rights in the final deliverables pass to the client on payment in full, as set out in that agreement; working files are not part of the standard delivery and are transferred only where the client elects the transfer option in the SOW or on our transfer form, for the fee published on our rates page; our libraries, methods and licensed third-party assets are never transferred.
Our right to show completed work is set out in the signed Master Services Agreement. Under that agreement, we do not publish a project before the earlier of the client's first public announcement of it and the end of the embargo period stated in the agreement; we do not publish a cancelled or unlaunched project except anonymously or with the client's written consent; a longer exclusion or anonymization can be agreed in the SOW; and we remove a specific published image at the client's reasonable written request.
The text, images, graphics, films and design of the Site are owned by us or used under license, including images of client projects that we display under rights granted by our clients. You may view the Site and share links to it, but you may not copy, reproduce or reuse its content without our written permission.
Send us only files you have the right to share. By uploading files or describing a project, you confirm that you hold the rights and permissions needed for us to review them. Please do not include personal data, health information or payment card data in project files.
We use files and information sent before a signed agreement only to review your request and prepare a proposal, give access only to the people who need it, and delete them at your request. If your materials are confidential, ask us for our mutual non-disclosure agreement before you send them.
Our Privacy Policy explains how we handle personal information.
We accept payment only by wire transfer or ACH credit to the bank account stated in our signed agreement and repeated on our invoice, and we do not accept card payments. We never change our banking details by email, text message or chat: any change must be confirmed by telephone with our Managing Member at the verified number stated in the agreement. Treat any message asking you to pay a different account as fraudulent and call us before you pay.
Use the Site lawfully and in a way that does not infringe the rights of others, give us accurate and complete information when you contact us, and do not use the Site for unlawful purposes.
The Site links to third-party websites, including our profiles on social networks. We are not responsible for their content or their privacy practices.
The Site and its content are provided "as is" and "as available" for general information. To the fullest extent permitted by law, we make no warranties about the Site or its content. Any warranty for our services is given only in a signed Master Services Agreement.
To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, special or punitive damages arising from your use of the Site or your reliance on its content. Our liability in connection with our services is governed only by the signed Master Services Agreement.
These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Any dispute about our services is resolved under the dispute-resolution section of the signed Master Services Agreement. If you have a concern about the Site, please contact us first so that we can try to resolve it informally. Any dispute arising from your use of the Site that is not governed by a signed Master Services Agreement is subject to the exclusive jurisdiction of the state and federal courts located in California.
We may update these Terms by posting a new version on this page with a new effective date. A change to these Terms does not change a signed Master Services Agreement or SOW, which can be amended only in a writing signed by both parties.
